1. Acceptance of Terms

Welcome to The Prop Association (hereafter “TPA”). Please review the following Terms and Conditions of Use (“Terms of Use”) before accessing the TPA website (the “Site”). By accessing or using this Site, you acknowledge and agree to be bound by these Terms of Use. If you do not agree, please discontinue use of the Site.

These Terms apply to general visitors and verified Trader Users. They do not govern Member Firms, who are subject to a separate Membership Agreement with TPA.

By using the Site, you confirm that you are at least the age of majority in your jurisdiction and legally capable of entering into a binding agreement.

TPA reserves the right to modify, suspend, discontinue, or restrict the Site and any of its features or content at any time without notice or liability. Your continued use of the Site after changes are posted constitutes your acceptance of those changes.

2. Scope of Use and License

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site in accordance with these Terms. This license is subject to your compliance with all applicable laws and the conditions set forth herein.

You agree not to:

• Redeliver, reproduce, or circumvent any part of the Site using framing or automated technologies.
• Modify, copy, distribute, display, publish, license, create derivative works from, or sell any materials from the Site without prior written consent.
• Probe, scan, or test vulnerabilities of the Site or any network connected to it.
• Interfere with the functioning of the Site using bots, automated scripts, or manual processes.
• Use forged headers or manipulate identifiers to disguise the origin of content.
• Overburden the Site or its infrastructure through excessive use.

3. Verified Trader User Accounts

Certain features of the Site, including the ability to post reviews or submit complaints, are reserved for registered and verified Trader Users.

To become a Trader User, you must:

• Provide accurate and truthful identifying information.
• Agree to abide by these Terms of Use in full.
• Not misuse the platform to harass, defame, or submit malicious complaints.

TPA reserves the right to approve, deny, suspend, or revoke Trader User access at its sole discretion, with or without cause. Accounts may also be suspended or terminated for:

• Extended periods of inactivity
• False or misleading registration information
• Suspicious or fraudulent behavior

4. User-Submitted Content and License Grant

By posting any reviews, complaints, comments, or other content on the Site, you:

• Represent that the content is accurate, lawful, and not in violation of any third-party rights.
• Grant TPA a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, adapt, publish, and display your content in connection with its services.
• Acknowledge that TPA may review, moderate, edit, or remove any content for any reason, including compliance with its moderation policies.

Users must ensure all content submitted is:

• Evidence-based and factual
• Respectful and constructive
• Free of defamatory, offensive, or inflammatory language
• Free of spam, plagiarism, or AI-generated content

TPA may require users to provide documentation supporting any claims made in reviews or complaints. Repeated violations may result in suspension or permanent banning from the platform.

5. Dispute Submission and Firm Responses

Users submitting formal complaints about Member Firms must include documentation supporting the alleged misconduct (e.g., payout denial proof). Member Firms will have the opportunity to respond with their own documentation. TPA aims to provide a fair and transparent record of the complaint but does not guarantee resolution or verify the truth of claims.

TPA may offer a separate external dispute resolution channel for certain claims, but participation is not guaranteed or mandatory.

6. TPA’s Neutrality and Non-Endorsement

TPA does not endorse, recommend, or guarantee any proprietary trading firm listed or referenced on the Site. All content and reviews are intended for informational and community purposes only. Users should perform their own due diligence and seek independent financial advice before making decisions.

TPA may maintain commercial relationships with Member Firms, including fee-based memberships. These relationships do not affect TPA’s review moderation or complaint handling processes.

7. Prohibited Activities

Users may not:

• Post misleading, false, or defamatory reviews
• Harass, impersonate, or threaten other users or firms
• Manipulate site mechanisms (e.g., fake accounts, mass upvotes)
• Use the platform for illegal purposes
• Upload malware or attempt to hack the platform

TPA maintains a zero-tolerance policy for prohibited activities. Violations may result in termination of access, legal action, and removal of all user content.

8. Linking Conditions Agreement

You may not link to this Site unless you:

• Do so using text specifically referring to TPA.
• Do not use TPA logos or trademarks without permission.
• Do not misrepresent your relationship with TPA.
• Do not portray TPA in a misleading or derogatory manner.

Subject to the above, TPA grants you a limited, revocable, non-exclusive right to create a hyperlink to the Site.

9. Intellectual Property

All content, software, designs, logos, and materials on this Site are owned by or licensed to TPA and are protected by applicable copyright, trademark, and other intellectual property laws. Unauthorized use is prohibited.

Users are granted a limited, non-transferable, revocable license to access and use the content for personal, non-commercial purposes. Reproduction or reverse-engineering of platform elements is strictly prohibited.

10. Termination of Access

TPA may terminate or suspend your access to the Site, your Trader User account, or specific features at any time, with or without notice, for:

• Violation of these Terms
• Engagement in prohibited activity
• Disruption of platform functionality

Upon termination, you must immediately cease using the Site.

11. Privacy and Data Use

Your use of the Site is governed by our Privacy Policy, which outlines how we collect, store, and use personal information. Verified Trader Users acknowledge that complaint submissions may be shared with Member Firms for the purpose of resolution.

12. Disclaimers and Limitation of Liability

This Site and all services are provided “as is” and “as available.” TPA disclaims all warranties, express or implied. TPA is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site.

To the maximum extent permitted by law, TPA’s total aggregate liability for any claim arising from or related to the use of the Site shall not exceed the greater of fifty U.S. dollars ($50) or the total amount you paid (if any) to TPA in the past twelve months.

13. Indemnification

You agree to indemnify and hold harmless TPA, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Site, your content submissions, or your violation of these Terms.

14. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law rules. Any disputes shall be resolved exclusively in the courts located within that jurisdiction.

15. Changes to Terms

The effective date of these Terms of Use is April 1, 2025. TPA may update these Terms at any time. Revisions will be posted with an updated effective date. We encourage users to review these Terms regularly.
